1. About these terms
These terms apply when a business buys access to Moduli from Moduli ApS ("we"). "You" is the business, for example a gym or a personal trainer, that has an agreement with us.
Moduli is sold only to businesses. The Danish Consumer Contracts Act (forbrugeraftaleloven) therefore does not apply to the agreement between you and us.
2. The agreement
The agreement is entered into when you have accepted a quote from us or have ordered a module in Moduli. If we have made a written agreement with you, it takes precedence over these terms where they differ.
3. Modules and prices
Moduli consists of modules, for example memberships, class booking, session passes and staff rota. You only pay for the modules you have switched on.
- Each module has a price per month or per year. A year costs the same as 10 months. Some modules can only be bought per year.
- SMS is paid for by usage and charged monthly.
- The prices are stated in your quote or in Moduli when you order. All prices are in Danish kroner and exclude VAT, which is added on top.
- We may offer a free trial period on a module. What applies to the trial period is stated in the quote.
4. Payment
Payment is charged automatically to your payment card in advance of each period. Payment is handled by Stripe, which also sends receipts. You can change your card and see your invoices in Stripe’s customer portal.
If you switch on a module in the middle of a period, you only pay for the remaining part of the period.
5. Non-payment
If a payment cannot be completed, Stripe tries again and notifies you by email. You keep access in the meantime. If the payment does not succeed, we may close the modules the payment relates to. Your data is not deleted for that reason.
6. Termination
There is no lock-in. You can terminate a module or the whole agreement at any time. Termination takes effect from the end of the period you have paid for, and you have access until then. We do not refund payment for a period that has begun.
We may terminate the agreement with 3 months’ notice. If you materially breach the agreement, for example through repeated non-payment or misuse of the system, we may terminate it immediately.
7. Changes to prices and to Moduli
We may change the prices with at least 30 days’ notice by email. A new price applies from the first period that begins after the notice, so that you have time to terminate before it takes effect.
We develop Moduli on an ongoing basis. We do not remove material features from a module you pay for without giving you notice in good time.
8. Your members’ payments
If you sell memberships, session passes or classes through Moduli, payment is made to your own Stripe account. It is you who sells to your members, and the money goes directly to you. Moduli takes no share of your members’ payments. You pay Stripe’s fees directly to Stripe.
You are yourself responsible for your terms towards your members, for example rules on lock-in and cancellation under the Danish Consumer Contracts Act (forbrugeraftaleloven).
9. Data and data processing agreement
You are the data controller for the information that you, your employees and your members put into Moduli. We are the data processor and only process the information on your instructions. The data processing agreement is part of the agreement between us.
Data is stored on servers in the EU. When the agreement ends, you can have your data handed over to you, and we then delete it as described in the data processing agreement. Information that the law requires to be kept, for example under the Danish Bookkeeping Act (bogføringsloven), is only deleted when that obligation expires.
10. Operation and support
We do our best to keep Moduli stable and available, but we cannot promise that it will always run without interruptions. As far as possible, we schedule planned maintenance outside busy times. You can get support at kontakt@moduli.dk, and we reply within 1 working day.
11. Liability
We are liable in accordance with the general rules of Danish law. However, our total liability is limited to the amount you have paid us in the 12 months before the loss occurred. We are not liable for indirect losses, for example lost revenue or profit.
The limitations do not apply if we have acted intentionally or with gross negligence.
12. Governing law and disputes
The agreement is governed by Danish law. If we cannot resolve a disagreement together, it will be decided by the City Court of Copenhagen (Københavns Byret).
